Terminology
We Agency World” “We,” “us,” or “the company
Contractual Relationship
These Terms of Use (“Terms”) govern the access or use you make, as an individual, from any country in the world (excluding the United States and its territories and possessions as well as mainland China) of applications, web pages, content, products and services (the “Services”) made available by We Agency World, established in Ecuador, with registered address at Calle Jose Puerta and Av. Eloy Alfaro, Quito, Ecuador, registered with tax identification number 176000264001 (“We Agency World”)
Please read these terms carefully before accessing or using the services
By accessing and using the Services, you agree to be legally bound by these Terms, which establish a contractual relationship between you and We Agency World. If you do not agree to these Terms, you may not access or use the Services. These Terms expressly supersede any prior agreements or arrangements with you. We Agency World reserves the right to immediately terminate these Terms or any of the Services with respect to you, or generally cease offering or denying access to the Services or any portion thereof, at any time if there is any breach of these Terms.
Supplemental conditions may apply to certain Services, such as policies for a particular event, activity, or promotion, and such supplemental conditions will be disclosed to you in connection with the applicable Services. The supplemental conditions are in addition to, and shall be deemed a part of, these Terms for the purposes of the applicable Services. The supplemental conditions shall prevail over these Terms in the event of conflict with respect to the applicable Services.
We Agency World may modify the Terms relating to the Services when deemed appropriate. Modifications will be effective upon We Agency World’s posting of such updated Terms at this location or the modified policies or supplemental conditions on the applicable Service. Your continued access or use of the Services after such posting constitutes your consent to be bound by the Terms and their modifications.
The collection and use we make of personal information in connection with the Services is as provided in the We Agency World Privacy Policy, available at https://wp-test.weagencyworld.com/privacy-policy/. We Agency World may provide any necessary information (including your contact information) to a claims processor or insurer if there are complaints, disputes or conflicts, which may include an accident involving you and a third party (including a transportation company driver) and such information or data is necessary to resolve the complaint, dispute or conflict.
The services
The Services constitute a technology platform that allows users of We Agency World mobile applications or web pages provided as part of the Services (each, an “Application”) to organize and plan auditions or castings, audiovisual training or learning, manage the rental of art items, pursuant to an agreement with We Agency World or certain affiliates of We Agency World (“Third-Party Providers”). Unless We Agency World agrees otherwise in a separate written agreement with you, the Services are made available for your personal, non-commercial use only. YOU ACKNOWLEDGE THAT WE AGENCY WORLD DOES NOT PROVIDE AUDIOVISUAL PRODUCTION SERVICES AND THAT SUCH AUDIOVISUAL PRODUCTION SERVICES ARE PROVIDED BY THIRD-PARTY CONTRACTORS OR INDEPENDENT PROVIDERS, WHO ARE NOT EMPLOYED BY WE AGENCY WORLD OR ANY OF ITS AFFILIATES.
License
Subject to compliance with these Conditions, We Agency World grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to: (i) access and use the Applications on your personal device solely in connection with your use of the Services; and (ii) access and use any content, information, and material related thereto that may be made available through the Services, in each case solely for your personal, non-commercial use. We Agency World and its licensors reserve any rights not expressly granted herein.
Restrictions
You may not: (i) remove any copyright, trademark, or other proprietary notice from any part of the Services; (ii) reproduce, modify, create derivative works of, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, retransmit, or otherwise exploit the Services, except as expressly permitted by We Agency World; (iii) decompile, reverse engineer, or disassemble the Services, except as permitted by applicable law; (iv) link to, mirror, or frame any part of the Services; (v) cause or launch any program or script for the purpose of data mining, indexing, analyzing, or otherwise accessing or scraping any portion of the Services or unduly burdening or hindering the operation and/or functionality of any aspect of the Services; or (vi) attempt to gain unauthorized access to or damage any aspect of the Services or its related systems or networks.
Provision of Services
You acknowledge that parts of the Services may be made available for We Agency World’s associated audiovisual projects and to ensure the full compliance of audiovisual services in case of their hiring.
Third-Party Services and Content
The Services may be made available or accessed in connection with third-party services and content (including advertising) that We Agency World does not control. You acknowledge that different terms and privacy policies may apply to your use of such third-party services and content. We Agency World does not endorse such third-party services and content and in no event shall We Agency World be responsible for any product or service of such third-party providers. Additionally, Apple Inc., Google, Inc., or Microsoft Corporation and/or their respective international subsidiaries or affiliates shall be third-party beneficiaries to this Agreement if you access the Services using Applications developed for iOS, Android, Microsoft Windows mobile devices, respectively. These third-party beneficiaries are not parties to this Agreement and are not responsible for the provision or support of the Services in any manner. Your access to the Services using these devices is subject to the terms set forth in the applicable third-party beneficiary’s terms of service.
Ownership
The Services and all rights relating to them are and will remain the property of We Agency World or its licensors. None of these Conditions or your use of the Services transfer or grant you any right: (i) on or in connection with the Services, except for the limited license granted above; or (ii) to use or refer to in any way the company names, logos, product and service names, trademarks, or service marks of We Agency World or its licensors.
Your use of the Services
User Accounts.
In order to use most aspects of the Services, you must register and maintain an active personal user account for the Services (“Account”). To obtain an Account, you must be at least 18 years old or have reached the legal age of majority in your jurisdiction (if different from 18 years old). Registering for an account requires the involvement of a legal representative or guardian, so you must attach the minor’s information, such as ID, to validate the relationship or dependency and ensure security and integrity. You agree to keep the information in your Account accurate, complete, and up-to-date. If you do not keep your Account information accurate, complete, and up-to-date, including having an invalid or expired payment method, it may result in your inability to access and use the Services or in We Agency World’s termination of these Terms with you. You are responsible for all activity that occurs on your Account and agree to keep your Account username and password secure and confidential at all times. Unless We Agency World allows otherwise in writing, you may only own one Account.
User Requirements and Conduct
The Service is not available for use by persons under the age of 18, unless they have a guardian who is registered and linked to their account. You may not authorize third parties to use your Account, and you may not allow persons under the age of 18 to perform audiovisual services, unless they are accompanied by you. You may not assign or transfer your Account to any other person or entity. You agree to comply with all applicable laws when using the Services, and you may only use the Services for lawful purposes (e.g., not for the development of illegal or integrity-threatening audiovisual projects or activities). When using the Services, you will not cause any obstruction, annoyance, discomfort, or damage to property, both to the Third-Party provider and any other party. In some cases, you may be required to provide identification documents or other forms of identity verification for access or use of the Services, and you agree that access or use of the Services may be denied if you refuse to provide the identification document or identity verification element.
User-provided content
We Agency World may, at its sole discretion, allow you to submit, upload, publish or otherwise make available to We Agency World through the Services user-generated content in the form of text, audio and/or visual information, including comments and opinions related to the Services, initiation of support requests, as well as admission submissions for competitions and promotions (“User Content”). All User Content provided by you will remain your property. However, by providing User Content to We Agency World, you grant a worldwide, perpetual, irrevocable, transferable, royalty-free, sublicensable right to use, copy, modify, create derivative works, distribute, publicly display, publicly perform or otherwise exploit such User Content in any manner, in all formats and distribution channels, now known or hereafter devised (including in connection with the Services and We Agency World’s business and on third-party sites and services), without further notice or consent from you and without requirement of payment to you or any other person or entity. This is done for the purpose of promoting it to potential clients and if there is a successful hiring agreement, you will be notified and payment will be made with your consent.
You represent and warrant that: (i) you are the sole and exclusive owner of all User Content or have all necessary rights, licenses, consents, and permissions to grant to We Agency World the license to the User Content as set forth above; and (ii) neither the User Content nor your submission, uploading, publishing, or otherwise making available of such User Content nor the use by We Agency World thereof as permitted herein will infringe, misappropriate, or violate a third party’s patent, copyright, trademark, trade secret, moral rights, or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.
You agree not to provide User Content that is defamatory, libelous, hateful, violent, obscene, pornographic, unlawful, or otherwise offensive, as determined by We Agency World in its sole discretion, whether or not such material may be protected by law. We Agency World may, at its sole discretion and at any time and for any reason, without prior notice, review, monitor or remove User Content, but is not obligated to do so.
Access to the network
You are responsible for obtaining the necessary access to the data network to use the Services. Data and messaging rates and fees from your mobile network may apply if you access or use the Services from a wireless device and you will be responsible for such rates and fees. You are responsible for acquiring and updating compatible hardware or devices necessary to access and use the Services and Applications and any updates thereto. We Agency World does not guarantee that the Services, or any portion thereof, will function on any particular hardware or device. In addition, the Services may be subject to malfunctions and delays inherent in the use of the Internet and electronic communications
Payment
You understand that using the Services may result in charges for the services or goods you receive from a Third-Party provider, independent third parties, or for intermediary services or others received from We Agency World or its subsidiaries or affiliates in your jurisdiction or abroad, as applicable (the “Charges”). In the event of Charges being made on behalf of the Third-Party provider, We Agency World, its affiliates, or subsidiaries will be responsible for passing on and collecting applicable taxes in your jurisdiction or abroad as per the Law. After you have received the services or obtained the goods (referred to above) using the Services, We Agency World, as a limited collection agent, will facilitate the payment of the Charges and applicable taxes on behalf of the Third-Party provider or We Agency World or its subsidiaries or affiliates in your jurisdiction or abroad, as applicable. Payment of Charges and taxes (when applicable) in this manner will be deemed as payment made directly by you to the Third-Party provider, We Agency World, or its subsidiaries or affiliates in your jurisdiction or abroad, as applicable. Charges paid by you are final and non-refundable, unless We Agency World determines otherwise. You retain the right to request lower Charges from a Third-Party provider for services or goods received by you from such Third-Party provider at the time you receive such services or goods. We Agency World will respond accordingly to any request from a Third-Party provider to modify Charges for a particular service or good. Charges may include other fees, including application fees, municipal, state or national/federal fees or charges, late fees, or processing fees for installment payments, among others that are applicable.
All Charges are payable immediately, and payment will be facilitated by We Agency World using the preferred payment method indicated in your Account, and thereafter We Agency World will send you a receipt via email. If it is determined that the payment method for your primary Account has expired, is invalid, or otherwise not able to be charged, you agree that We Agency World, as a limited collection agent for the Third-Party provider, may use a secondary payment method on your Account, if available.
We Agency World, at any time and at its sole discretion, reserves the right to establish, eliminate, and/or revise Charges for any or all services or goods obtained through the use of the Services. Additionally, you acknowledge and agree that applicable Charges in certain geographic areas may substantially increase during periods of high demand. We Agency World will use reasonable efforts to inform you of Charges that may apply, but you are responsible for Charges incurred on your Account, regardless of whether you are aware of such Charges or their amounts. We Agency World may, at its discretion, provide certain users with promotional offers and discounts that may result in different amounts being charged for similar services or goods obtained through the use of the Services, and you agree that such promotional offers and discounts, unless also made available to you, shall have no bearing on your use of the Services or the Charges applied to you. You may choose to cancel your request for services or goods from a Third-Party provider at any time prior to the arrival of such Third-Party provider, in which case you may be charged a cancellation fee.
